Sifis Wholesale Terms and Conditions

ORDERS:

All orders MUST be placed on  one of our order sheets. Shoot us an email at wholesale@sifisline.com with your info and we can set up a wholesale account and send you a .pdf order sheet.

New wholesale customers will receive Net/45 day payment terms upon product delivery for the first order.  All additional orders will receive Net/30.

MINIMUMS:
First orders minimum: 32 total piece/8 piece per style.
Future order minimum: 48 total piece/12 piece per style minimum.
Please Note: There are no minimums on individual sizes.  If you order a size that is not in stock we will notify the retailer and a size will be substituted  at the discretion of the retailer.

DISCOUNTS:

Quantity discounts are available.  Discounts are percentages off based upon the entire wholesaler's order.  Discounts are as follows:

2%- $1,000

3%- $1,500

5%-$2,500

PAYMENT TERMS:

a. For U.S. store retailers, all invoices must be paid by Check. The retailer must make all N/30 payments within 30 days of receiving the shipment or shall be subject to a monthly interest fee running from due date forward. In addition, late payments may revert the terms to C.O.D. and/or pre-payment. Extended payment terms may be established at the discretion and approval of Sifis Clothing.

b. For international store retailers, your first 3 orders must be paid at the time of order placement (Credit Card, PayPal or C.O.D) in order to establish a relationship. After that, you may request a Net/35 account status. The retailer must make all subsequent payments within 35 days of shipment or shall be subject to a monthly interest fee running from due date forward. In addition late payments may revert payment terms to C.O.D. and/or pre-payment. Extended payment terms may be established at the discretion and approval of Sifis Clothing. International customers are responsible for paying all fees and duties associated with importing commercial goods. For Canadian customers, Sifis Clothing will file a NAFTA form so duty fees are waived.  However, the Canadian taxes still applies and, if you choose Fedex, there will also be a brokerage fee. For all other countries, taxes, duties, and brokerage fees apply. International customers are responsible for researching their own countries customs information before ordering so that they understand the fees that they will be paying upon import.

c. Late Fee Schedule: Late fees by percentage will be applied to the total amount of that particular invoice. Late fee schedule as follows;

            5 days-5%

            10 days-10%

            15 days-12%

            20 days-15%

            25 days-18%

FREIGHT:

The buyer pays for shipping. Orders Over $1,500 will get free freight in the contiguous states.  Orders can be shipped either by UPS or Fed Ex.  For shipping rates, please email us at info@sifisline.com. We will ship via UPS Ground by default. If you desire a different shipping method, state your alternative shipping preference on your order sheet.  Free Delivery is offered to locations in Summit County, Colorado.

RETURNS:

Limited warranty covers manufacture defects. All claims due to shortages or damages must be made within 2 days of delivery.  No claims or returns after the garments have been altered so please open and inspect all shirts when you get them right away.  Shortages or damaged goods must be returned within 7 days of product shipment. With our first buy-in exchange program, Sifis is not responsible for altered or stained garments after they have been on display in the store.  We recommend hanging our garments and not storing them folded on the floor.  Any products that have been altered or stained will not be eligible for exchange or return. Your Sifis Clothing outside representative can pick up any goods that need to be returned from any Summit County retail stores.  All Sales are final, no returns.

RETURNS FOR ANY OTHER REASON:

We offer an exchange program on your first order, if some styles are not selling, we will offer a one-time exchange for what is selling in your store.  All Sales are final after first order unless specified differently at the discretion and approval of Sifis clothing.

      1. Apparel with alterations, dirt or residue on clothing cannot be returned.

      2. Before an exchange is made, a list of the returned products must be submitted to Sifis via email at returns@sifisline.com. Sifis will review the list and issue a Return Authorization Number (RA#).  The RA# must be clearly marked on the outside of the package. 

ONLINE:

If store retailer has a website, they may sell our product at MSRP.  Retailer agrees NOT to attempt to sell Sifis Clothing online cheaper than MSRP at any website in any form.  A separate online agreement will need to be signed.  If retailer is having a sale, our products must remain at MSRP unless a sale price is established in advance at the discretion and approval of Sifis Clothing.

PATENT AND COPYRIGHT INFRINGEMENT:

Store retailer must never use any other image, name, logo mark or photo of, nor any descriptive or explanatory text relating to, nor any reference to, another company, product or brand name in reference or relation to Sifis products without written consent by Sifis. In addition, retailer agrees not to develop, engineer, design, nor commission or collaborate with any individual or agency to develop, design, create or recreate any product that could directly compete with proprietary Sifis products.

All product materials and graphics associated with Sifis Clothing and its designs are copyrighted as a collective work under the United States and other copyright laws, and is the property of Sifis Clothing LLC. The collective work includes works that are licensed to Sifis Clothing LLC. Copyright, Sifis Clothing LLC ALL RIGHTS RESERVED.  Product is for in-store and online customer purchase only.  Any other use, including but not limited to the reproduction, distribution or display is strictly prohibited, unless authorized by Sifis Clothing LLC.

Retailer may use specific photo and/or graphic images and/or specific text provided by Sifis or any info from our website for the promotion of or in conjunction with Sifis products only, and then only for the duration that Sifis products are being actively offered for resale by retailer. Unless written permission is granted, Retailer may not use the aforementioned intellectual property of Sifis for any retail websites that are not the direct representation of your retail company.

PROPER USE OF TRADEMARK:

Any marketing/promotional materials produced by retailer containing Sifis products must accurately represent the products with proper name and trademark. They must include the company name “Sifis” or “Sifis Clothing.”

REPACKAGING:

Retailer must never repackage, reproduce or reformulate any Sifis product without the expressed written consent of Sifis Clothing.
